Terms of Service

These terms apply to MasterKeyIT's website, enquiries, AI implementation, website, app development, automation, and related professional services.

1. Acceptance

By using masterkeyit.com.au, contacting MasterKeyIT, requesting a quote, booking a call, or engaging us for services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the website or services.

2. Services

MasterKeyIT provides AI consulting, AI implementation, website development, app development, automations, integrations, technical strategy, and related professional services. Specific project scope, fees, deliverables, timelines, assumptions, and responsibilities should be set out in a written proposal, quote, statement of work, or service agreement.

3. Quotes, Scope, and Changes

Quotes are based on information available at the time and may change if requirements, assumptions, third-party costs, timelines, or technical constraints change. Work outside the agreed scope may require a separate quote, written approval, or additional fees.

4. Client Responsibilities

You agree to provide accurate information, timely feedback, required access, approvals, content, brand assets, legal permissions, and cooperation needed for us to deliver the services. Delays in providing these may affect timelines and outcomes.

5. AI and Automation Disclaimer

AI systems can produce inaccurate, incomplete, biased, inconsistent, or unexpected outputs. You are responsible for reviewing AI outputs, implementing appropriate human oversight, checking suitability for your business, and complying with applicable laws and industry obligations. Unless expressly agreed in writing, our services do not constitute legal, financial, tax, medical, compliance, or professional advice.

6. Third-Party Services

Projects may use third-party platforms, hosting, APIs, model providers, plugins, payment processors, analytics, CRMs, email tools, or software. We are not responsible for third-party availability, pricing, security incidents, policy changes, outages, errors, or terms. You may need separate accounts and agreements with those providers.

7. Payments

Fees, deposits, milestones, subscriptions, retainers, and payment terms will be specified in the relevant quote, invoice, or agreement. Unless otherwise stated, invoices are payable within 7 days. We may pause work, withhold delivery, or suspend access where amounts are overdue.

8. Cancellations and Refunds

Deposits, setup fees, discovery fees, strategy work, custom development, and completed milestones are generally non-refundable to the extent permitted by law. If a project is cancelled, you remain responsible for work performed, committed third-party costs, and approved expenses up to the cancellation date. Your rights under the Australian Consumer Law are not excluded.

9. Intellectual Property

Unless otherwise agreed in writing, MasterKeyIT retains ownership of its pre-existing tools, templates, frameworks, code libraries, know-how, methods, prompts, reusable components, and internal processes. On full payment, you receive the rights stated in the relevant project agreement for custom deliverables created specifically for you.

10. Client Materials

You warrant that you have the rights to provide and use all content, data, logos, images, software, credentials, and materials supplied to us. You indemnify us against claims arising from materials you provide or instructions you give.

11. Confidentiality

Each party must take reasonable steps to protect confidential information received from the other and use it only for the relevant engagement, except where disclosure is required by law, permitted in writing, already public, independently developed, or received lawfully from another source.

12. Security

We take reasonable steps to build and operate secure systems, but no website, software, automation, AI workflow, or internet-connected system can be guaranteed secure. You are responsible for maintaining secure passwords, access controls, backups, staff processes, and appropriate insurance for your business.

13. Acceptable Use

You must not use our website, services, deliverables, or systems to break the law, infringe rights, send spam, scrape unlawfully, attack systems, introduce malware, bypass security, misuse AI, generate harmful content, or process data you are not authorised to use.

14. Portfolio Use

Unless you tell us otherwise in writing, we may identify you as a client and describe the general nature of work performed in our portfolio, proposals, and marketing, without disclosing confidential information.

15. Warranties

To the maximum extent permitted by law, the website and services are provided on an "as is" and "as available" basis. We do not guarantee that the website, deliverables, AI outputs, integrations, rankings, revenue outcomes, uptime, or business results will meet every expectation or be error-free.

16. Limitation of Liability

To the maximum extent permitted by law, MasterKeyIT is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, loss of revenue, loss of profits, loss of data, loss of goodwill, business interruption, or third-party platform issues. Our aggregate liability for a claim is limited to the amount paid by you for the specific services giving rise to the claim in the 3 months before the event, unless a different cap is agreed in writing.

17. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, remedy, or liability that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

18. Indemnity

You indemnify MasterKeyIT against claims, losses, damages, liabilities, costs, and expenses arising from your breach of these terms, your supplied materials, your misuse of services or deliverables, your unlawful conduct, or your failure to comply with laws applicable to your business.

19. Suspension and Termination

We may suspend or terminate access to services or decline further work where you breach these terms, fail to pay, create security risk, misuse systems, request unlawful work, or where continuing would expose us to unacceptable legal, operational, or reputational risk.

20. Governing Law

These terms are governed by the laws of Victoria, Australia. The parties submit to the courts of Victoria and courts entitled to hear appeals from them.
